Who these terms are for

These terms govern the services provided by Ahdemad Abouzekri, an independent creative professional trading as Novaia and based in Egypt ("Novaia", "we"), to business clients ("you"). By requesting a quote, a free sample or a project, you accept these terms. A signed quote or written agreement prevails where it differs from these terms.

Our services

Deliverables, formats, quantities, languages and timelines are set out in your quote.

Free sample

The free sample is one AI image of one product, created from the photos you send, for evaluation only. It may not be used commercially unless we agree otherwise in writing. We may decline a sample request at our discretion.

Your materials

You confirm that you own or have the rights to the product photos, logos, brand assets and information you send us, and that our use of them for your project does not infringe anyone's rights. You are responsible for the accuracy of product claims shown in the content and you indemnify us against third party claims arising from materials or instructions you provide. We may refuse work that is unlawful, misleading, discriminatory or that imitates a real person without their consent.

Approvals and revisions

Each project includes the number of revision rounds stated in the quote (by default, two). Further changes are quoted separately. Approval by email or in our review tool is binding.

Timelines

Timelines in quotes are estimates from receipt of all materials and approvals. Delays caused by late materials or approvals extend timelines accordingly.

Prices, VAT and payment

Prices are in euros. Our invoices carry no VAT: Novaia is established outside the European Union and does not charge VAT. Business clients in the EU may have to self account for VAT in their own country under the reverse charge mechanism; any taxes or bank charges that apply in your country are your responsibility. Unless your quote says otherwise, 50% is due on acceptance and the balance on delivery, within 14 days of invoice. Monthly plans are invoiced in advance. Late payments may bear interest and suspend delivery.

Rights to the content

On full payment you receive a worldwide, perpetual licence to use the delivered content for your brand across all channels, including advertising. Novaia keeps ownership of working files, prompts, models and methods.

AI content, synthetic people and labelling

Content is generated with artificial intelligence. People shown are synthetic and do not depict real individuals unless you supply and license real model imagery. Products are reproduced from your references and checked for fidelity, but small differences from the physical product may remain; you approve the final result before delivery. Under the EU Artificial Intelligence Act (Article 50) and platform rules on Meta, TikTok and Google, realistic AI generated people or scenes may need to be disclosed as AI generated when published. As the publisher, you are responsible for applying the disclosure your market and platform require.

Confidentiality

We treat your unreleased products, plans and materials as confidential and expect the same for our quotes and methods.

Liability

Our total liability for a project is limited to the fees paid for that project. We are not liable for indirect losses, lost profits or the performance of advertising campaigns. Nothing in these terms limits liability that cannot be limited by law.

Cancellation

You may cancel a project in writing. Work completed and costs incurred to that date are payable. Monthly plans may be cancelled with 30 days' notice.

Law and disputes

These terms are governed by the laws of the Arab Republic of Egypt. We will try to resolve any dispute amicably first. Nothing in these terms removes protections you have under mandatory laws of your country. Contact: hello@wearenovaia.com.

Data protection

Where a project requires you to send us personal data of third parties (for example customer photos or real models), we act as your processor and sign a data processing agreement with the European Commission's Standard Contractual Clauses before receiving the data.
